§ 1. GENERAL PROVISIONS
These TERMS AND CONDITIONS (TERMS AND CONDITIONS) specify the scope of and terms for the provision of services through the website (IngramMicro24) operated by Ingram Micro Sp. z o.o. seated in Warsaw, exclusively to entrepreneurs in the area of legal transactions directly connected with their business or professional operations, who are regular business partners of Ingram Micro Spółka z ograniczoną odpowiedzialnością. This website does not provide services to consumers as defined under Article 221 of the Civil Code.
§ 2. DEFINITIONS
  1. The following terms used in these TERMS AND CONDITIONS shall have the following meaning:
    • TERMS AND CONDITIONS – these TERMS AND CONDITIONS.
    • COMPANY – Ingram Micro Sp. z o.o., a limited liability company with its registered office in Warsaw at the following address: 02-255 Warszawa, ul. Krakowiaków 46; entered into the Company Register of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, 13th Commercial Division of the National Court Register, under number: KRS 0000028820, with its share capital of PLN 8,000,000.00, holder of (NIP) Taxpayer Reference Number: 521-29-31-906 and (REGON) National Business Registry Number: 013196912.
    • IngramMicro24 – IT system (website), domain www.IngramMicro24.com, maintained by the Company, accessible through the WWW interface, and used to pursue cooperation between the COMPANY and other SUPPLIERS, and business partners.
    • USER – natural person who, as part of their official duties, represents an entrepreneur, i.e. natural person, legal entity, or organizational unit without legal capacity that conducts business or professional operations and performs a legal transaction with the COMPANY or the SUPPLIER, connected directly
      with their business or professional operations (hereinafter: RECIPIENT), that is a business partner for the COMPANY or any of the COMPANY’s suppliers described hereinbelow (hereinafter: SUPPLIERS), uses services provided through the IngramMicro24 website by the COMPANY or SUPPLIERS in the area of legal transactions directly connected with the business or professional operations conducted by the RECIPIENT, and has a valid Log-in, and a Password.
      No consumer within the meaning of applicable regulations is allowed to use the IngramMicro24 website.
    • ADMIN – one of the RECIPIENT’s USERS authorised by the RECIPIENT to manage all USER ACCOUNTS of the RECIPIENT by adding/deleting accounts and granting/revoking particular privileges to act on behalf of the RECIPIENT on the IngramMicro24 website.
    • LOG-IN – individual and unique identifier of the USER – authentication element being an official e-mail address of the USER, used together with a password.
    • PASSWORD – string of characters used as an authentication element by the USER.
    • SERVICES – services (sale of goods, grant of licenses, or delivery of servicing, technical, and advisory services, lending of goods for demonstration and marketing) delivered through the IngramMicro24 website to RECIPIENTS by the COMPANY or SUPPLIERS, connected directly with their business or professional operations.
    • GOODS – items, services, or rights which can be subject to an order or other activity provided to the RECIPIENT by the COMPANY or SUPPLIERS though the IngramMicro24 website, as set forth in the TERMS AND CONDITIONS.
    • RECIPIENT – entrepreneur, i.e. natural person, legal entity, or organizational unit without legal capacity, that conducts business operations and uses the IngramMicro24 website directly or through their duly authorized representatives, i.e. USERS, that performs a legal transaction with the COMPANY or the SUPPLIER, connected directly with their business or professional operations.
    • USER ACCOUNT – account the COMPANY maintains under a unique name (e-mail address) for the USER, which account is a collection of resources to store data of the USER and information about activities of the USER on the IngramMicro24 website.
    • RECIPIENT ACCOUNT – account the Company maintains for the RECIPIENT under a name (corporate name) of the RECIPIENT, which account is a collection of resources to store data of the RECIPIENT and information about activities of the RECIPIENT on the IngramMicro24 website.
    • REGISTRATION – process of creating USER and RECIPIENT accounts to gain access to services delivered through the IngramMicro24 website by the COMPANY or SUPPLIERS, in accordance with the rules set forth in the TERMS AND CONDITIONS.
    • SUPPLIER - Ingram Micro sp. z o.o., a company organized under the laws of Poland, with its registered office in Warsaw, Ingram Micro Czech Republic s.r.o., a company organized under the laws of the Czech Republic, with its registered office in Hradec Kralove; Ingram Micro Magyarország Kft., a company organized under the laws of Hungary, with its registered office in Budapest; Ingram Micro d.o.o, a company organized under the laws of Serbia, with its registered office in Belgrade; Ingram Micro Ljubljana, tehnoloske resitve, d.o.o., a company organized under the laws of Slovenia, with its registered office in Ljubljana; INGRAM MICRO DISTRIBUTION SRL, a company organized under the laws of Romania, with its registered office in Bucharest; INGRAM MICRO D.O.O., a company organized under the laws of Croatia, with its registered office in Zagreb, a company organized under the laws of Macedonia Ingram Micro Macedonia DOOEL Skopje with its registered office in Skopje, who performs a legal transaction with the RECIPIENT, as set forth in these TERMS AND CONDITIONS, connected directly with the business or professional activity of the RECIPIENT
§ 3. TERMS OF USE
  1. Each of the USERS and RECIPIENTS, that use the IngramMicro24 website, must use the SERVICES provided through the website in accordance with valid laws and the TERMS AND CONDITIONS.
  2. To use the IngramMicro24 website, the USER must consent to the processing of personal data as prescribed by Article 23, clause 1, items 1 and 3 of the Personal Data Protection Act of 29 August 1997 (Journal of Laws, No. 101, item 926, as amended), as well as to the making of the USER’s personal data accessible to the COMPANY and/or SUPPLIERS in connection with the provision of specific SERVICES to the RECIPIENTS or USERS by the COMPANY and/or SUPPLIERS
  3. All and any complaints concerning the operation of the website should be made using the following e-mail address: portal@IngramMicro24.com.
  4. A complaint must specify details of a person making a complaint (name, e-mail address, RECIPIENT’s corporate name) and describe an event that gave rise to a complaint. Complaints are investigated promptly and in no case later than within 14 days of their receipt by the COMPANY.
  5. By using the IngramMicro24 website, the USER and the RECIPIENT accept and agree to abide by the TERMS AND CONDITIONS, including prohibition on any illegal content provided by the USER or the RECIPIENT.
§ 4. USER REGISTRATION
  1. To register the USER it is necessary to complete a registration form by providing the name and surname of the USER, and other data required in the form. The person completing the form must provide complete and accurate data consistent with the actual and legal status. Every USER of the IngramMicro24 website can view and update his/her data.
  2. The USER will receive a USER ACCOUNT activation e-mail (account activation link) from the COMPANY to the email address provided on the registration form. The USER must activate the ACCOUNT within 10 days. In absence of the activation, the Company will delete the USER ACCOUNT without further notice.
  3. By accepting the account activation link, referred to in clause 2 above, the USER:
    1. agrees to all provisions of these TERMS AND CONDITIONS;
    2. consents to the gathering and processing by the COMPANY and/or Suppliers of data provided in the form, to the extent necessary to use services provided by the COMPANY and/or the SUPPLIER through the IngramMicro24 website;
    3. confirms the accuracy of data provided in the registration form;
    4. consents to the receiving of commercial information and other communications to the USER’s e-mail address provided during the registration process.
  4. The COMPANY can make the Registration or use of the IngramMicro24 website by the USER conditional on the reliability of data provided by the USER during the registration process.
  5. The USER ACCOUNT contains the USER’s data provided by the USER in the registration form and/or subsequently updated. In the event of any changes in the USER’s data, the USER must promptly update the data using a relevant form available on the IngramMicro24 website. When using the IngramMicro24 services, the USER is prohibited from deleting any data of the USER and from providing any incomplete or untrue data. The USER cannot change an ACCOUNT name once it is adopted during the registration process.
  6. It is prohibited to use ACCOUNTS of other USERS and make one’s own Log-in and Password accessible to other persons. The COMPANY is not liable for effects resulting from third parties coming into possession of the USER’s Log-in and Password, until the USER sends a request to block the ACCOUNT and the COMPANY confirms by e-mail that the ACCOUNT has been blocked.
  7. The COMPANY reserves the right to temporarily block the USER ACCOUNT or the access to particular services provided through the IngramMicro24 website in the event the COMPANY finds that the ACCOUNT is exposed to security risks. The COMPANY can make the continued use of the ACCOUNT conditional on the change of the access password for the ACCOUNT.
  8. The COMPANY reserves the right to suspend or delete the ACCOUNT of any USER who uses the IngramMicro24 website for any activities that are illegal, harmful or non-compliant with these TERMS AND CONDITIONS, or violate the TERMS AND CONDITIONS or applicable laws, or adversely affect the COMPANY’s and/or SUPPLIER’s reputation, or otherwise undermine the COMPANY and/or the SUPPLIER.
  9. The USER whose account has been suspended, cannot re-register without prior consent from the COMPANY.
  10. When taken by the COMPANY, the actions referred to in the clause above do not exclude other liability of the USER for his/her activities that caused the suspension or deletion of the ACCOUNT. The USER is fully liable towards the COMPANY for damages.
  11. The COMPANY can refuse the USER any re-registration and maintenance of the ACCOUNT also when any other account of such USER was suspended in the past.
  12. Having sent the registration form, the USER must promptly register on the RECIPIENT’s website or link to the existing RECIPIENT on the website. If the USER is not linked to any RECIPIENT, the COMPANY will delete the USER ACCOUNT within 10 days without further notice.
§ 5. RECIPIENT REGISTRATION
  1. To register the RECIPIENT, the USER completes a RECIPIENT registration form by providing, among others, the full name of the RECIPIENT being registered, its registered address and country and tax identification number. The USER to register the RECIPIENT must provide complete and accurate data consistent with the actual and legal status.
  2. On the website, the USER should enclose a copy of documents with the RECIPIENT’s registration data, as evidenced by the entry into the country-specific register relevant for the RECIPIENT and tax identification particulars. The COMPANY and/or the SUPPLIER can make the registration of the RECIPIENT conditional on the enclosure of the aforesaid documents.
  3. Full activation of the RECIPIENT ACCOUNT requires to enclose by one of the RECIPIENT’s USERS a document to certify an authorisation to act on behalf of the RECIPIENT or a document authorising one of the RECIPIENT’s USERS to represent the RECIPIENT, as per the forms available on the IngramMicro24 website, signed by authorised representatives of the RECIPIENT. Thus authorised USER (ADMIN) will manage all USER ACCOUNTS of the RECIPIENT by adding/deleting accounts and granting/revoking particular privileges to act on behalf of the RECIPIENT on the IngramMicro24 website. The aforesaid document should be sent as a scanned document on the website within 21 days of the RECIPIENT’s registration. After that time, if such document is not sent, the COMPANY and/or the SUPPLIER may delete the RECIPIENT ACCOUNT. It is agreed that aforesaid authorisation sent in the form of a scanned document is legally binding in the same way as the original.
  4. The aforesaid USER authorised to represent the RECIPIENT confirms to accept the general terms and conditions of contracts (contract template) in force in the COMPANY or the given SUPPLIER.
  5. On the IngramMicro24 website, the RECIPIENT may be represented by one authorised USER or by many USERS who were granted privileges by the ADMIN referred to in clause 3 above.
  6. The COMPANY can make the registration or use of the IngramMicro24 website by the RECIPIENT conditional on the reliability of data provided by the USER during the registration process.
  7. The RECIPIENT ACCOUNT contains the RECIPIENT’s data provided by the USER in the registration form and/or subsequently updated. In the event of any changes in the RECIPIENT’s data, the USER must promptly update the data using a relevant form available on the IngramMicro24 website. When using the IngramMicro24 services, the USER is prohibited from deleting any data of the RECIPIENT and from providing any incomplete or untrue data.
  8. It is prohibited to use ACCOUNTS of other RECIPIENTS and make USER’s own Log-in and Password accessible to other persons. The COMPANY is not liable for effects resulting from actions performed on behalf of the RECIPIENT by third parties coming into possession of the USER’s Log-in and Password, until the USER sends a request to block the ACCOUNT and the COMPANY confirms by e-mail that the ACCOUNT has been blocked.
  9. By filling out and sending the RECIPIENT registration form through the IngramMicro24 website, the USER acting for and on behalf of the RECIPIENT:
    1. agrees to all provisions of these TERMS AND CONDITIONS as well as general terms and conditions of contracts (contract templates) applicable on the registration date and in force in the COMPANY or the given SUPPLIER;
    2. consents to the gathering and processing by the COMPANY of data provided in the form, to the extent necessary to use services provided by the COMPANY and/or the SUPPLIER through the IngramMicro24 website;
    3. confirms the accuracy of data provided in the registration form;
    4. consents to the receiving of commercial information and other communications.
  10. The COMPANY reserves the right to temporarily block the RECIPIENT ACCOUNT or the access to particular services provided through the IngramMicro24 website in the event the COMPANY finds that the ACCOUNT is exposed to security risks.
  11. The COMPANY reserves the right to suspend or delete the ACCOUNT of any RECIPIENT that uses the IngramMicro24 website for any activities that are illegal, harmful or non-compliant with these TERMS AND CONDITIONS, or violate the TERMS AND CONDITIONS or applicable laws, or adversely affect the SUPPLIER’s reputation, or otherwise undermine the SUPPLIER.
  12. The RECIPIENT whose ACCOUNT has been suspended, cannot re-register without prior consent from the COMPANY.
  13. When taken by the COMPANY, the actions referred to in the clause above do not exclude other liability of the RECIPIENT for their activities that caused the suspension or deletion of the ACCOUNT. The RECIPIENT is fully liable towards the COMPANY and/or the SUPPLIER for damages.
  14. The COMPANY can refuse the RECIPIENT any re-registration and maintenance of the ACCOUNT also when any other account of such RECIPIENT was suspended in the past.
§ 6. SERVICES PROVIDED THROUGH THE IngramMicro24 WEBSITE
  1. Through the IngramMicro24 website, the RECIPIENT and the USER shall gain access to on-line information and SERVICES, and specifically to the possibility of purchasing Goods and Services from the COMPANY and/or SUPPLIERS by the RECIPIENT. Legal transactions referred to hereunder are not subject to Article 661 § 1-3 of the Civil Code.
  2. The provision of commercial information and SERVICES to the extent, and following the rules set forth in the TERMS AND CONDITIONS includes in particular:
    1. receiving information by the USER and the RECIPIENT, concerning GOODS offered for sale by the COMPANY or/and the SUPPLIER, and purchasing by the RECIPIENT of GOODS offered by the COMPANY and/or the SUPPLIER based on an order placed by the USER on behalf of the RECIPIENT on terms and conditions set forth separately;
    2. providing information concerning GOODS, by and to the USER and/or the RECIPIENT, as part of the COMPANY’s and/or SUPPLIER’s warranty and post-warranty services;
    3. providing and receiving information concerning transportation of GOODS purchased from the COMPANY or the SUPPLIER by the RECIPIENT;
    4. obtaining information from the COMPANY’s or the SUPPLIER’s accounting system, concerning payments made by the RECIPIENT on account of purchase contracts made with the COMPANY or the SUPPLIER, and history of transaction settlements between the Parties;
    5. obtaining information about the scope of technical support services provided by the COMPANY or/and the SUPPLIER to the RECIPIENT;
    6. obtaining information about any clearance sale of GOODS by the COMPANY or the SUPPLIER, and purchasing by the RECIPIENT of GOODS offered by the COMPANY or the SUPPLIER on auctions, on terms and conditions set forth separately;
    7. using a communicator for on-line communication between the RECIPIENT represented by the USER, the COMPANY, the SUPPLIER and representatives of manufacturers of goods offered by the COMPANY or the SUPPLIER, these representatives using the IngramMicro24 website.
  3. Where possible and needed, the COMPANY and the SUPPLIER will aim at extending the scope of information and services made available through the IngramMicro24 website. Therefore, the COMPANY and the SUPPLIERS reserve the right to modify the scope of information and services at any time. No such modification affects the obligations of the Parties under these TERMS AND CONDITIONS, or methods of fulfilment of such obligations.
  4. The presentation of Goods and Services through the IngramMicro24 website by the COMPANY or the SUPPLIERS, or other entities, does not constitute an offer within the meaning of the Civil Code.
    Unless expressly stated otherwise in the TERMS AND CONDITIONS, the COMPANY or/and SUPPLIERS apply separate regulations to particular types of Goods and Services.
  5. As part of services provided through the IngramMicro24 website, the COMPANY and/or the SUPPLIER can organize promotions and incentive programs to boost the sales of Services or Goods offered by the COMPANY and/or the SUPPLIER, directly for the USER as a representative of the RECIPIENT, and/or for the RECIPIENT. Such promotions and incentive programs are subject to separate TERMS AND CONDITIONS. By agreeing to the TERMS AND CONDITIONS, the USER or the person authorized to represent the RECIPIENT hereby confirms the participation of the USER and the RECIPIENT in incentive programs and promotions organized through the IngramMicro24 website. If the USER or the RECIPIENT does not consent to participating in the said program or promotions, the USER or the RECIPIENT should notify the COMPANY thereof by completing a dedicated field on the IngramMicro24 website.
  6. The COMPANY does not perform legal transactions with consumers as defined under Article 221 of the Civil Code and it does not execute agreements with consumers, as defined in the Act on Consumer Rights of 30 May 2014 (Journal of Laws Dz. U. 2014.827), for Goods and Services offered through the IngramMicro24 website.
§ 7. TECHNICAL REQUIREMENTS FOR THE PROVISION OF SERVICES THROUGH THE IngramMicro24 WEBSITE
  1. To fully enjoy the Services the COMPANY offers through the IngramMicro24 website, the following are required:
    1. Internet access;
    2. current version of a web browser: Mozilla Firefox v24 or upgraded; or Microsoft Internet Explorer v9 or upgraded; or Google Chrome v25 or upgraded; with JavaScript, cookies, and SSL protocol enabled;
    3. access to the user’s e-mail account with the possibility of reading messages.
  2. The COMPANY accepts the following file formats:
    • pdf v1.4 or upgraded - Portable Document Format – Documents containing text and graphics as .pdf files for Adobe Reader v5 – this standard applies solely for reading documents,
    • other formats are indicated on the IngramMicro24 website by the COMPANY.
  3. Specific risks associated with the use of services offered through the IngramMicro24 website include the use of services without security settings described in the web browser documentation. It is particularly relevant for mechanisms that extend functionality of web browsers beyond the Hypertext Markup Language (HTML) standard. Any incorrect configuration of web browser security settings, or the use of additional plug-ins or extensions for the web browser that go beyond the standard browser functionality, involves a risk of having data sent to and from the WWW server intercepted, for which interception the COMPANY is not liable. The following basic information about a computer are required to be received to enable the use of services provided by the WWW network: operational system, browser, domain, IP address, and saving method for information stored in cookies. The USER consents to the using of the said information in the USER’s computer and web browser to ensure the website ability to operate.
  4. The role and purpose of any software or data that are not an element of the service content but have been integrated by the Service to the user’s ICT system (cookies) are to ensure sessions are authenticated and data are stored which make it possible and easier to use the website and keep website statistics.
§ 8. PRIVACY
  1. The COMPANY, as the data controller, ensures that personal data made available by the USERS and/or RECIPIENTS using the IngramMicro24 website are secured. The data are particularly protected and secured from any unauthorised access. Personal data of natural persons are processed by the COMPANY in accordance with Article 23, clause 1, items 1 and 5 of the Personal Protection Act of 29 August 1997 (Journal of Laws No. 101, item 926, as amended), for purposes associated with enabling the use of services through the IngramMicro24 website.
  2. The COMPANY ensures that the USERS - natural persons can exercise their rights under Article 32 of the Personal Protection Act, including particularly the right to access their own data, request the data be updated, and object in cases specified by the Act.
  3. All and any electronic documents sent to the COMPANY are stored and, in some cases, may be used for evidentiary purposes. Data may be disclosed whenever the disclosure is required by valid laws.
  4. The IngramMicro24 website uses cookies to provide services, as set forth in the Privacy Policy.
  5. The Privacy Policy the Company has in place is available along with all TERMS AND CONDITIONS in a dedicated website tab and specify which information the COMPANY can collect for personalized communication purposes, and how this information can be used.
§ 9. COPYRIGHTS
  1. The logo and the name of IngramMicro24 are a trademark and a trade name, respectively, which are protected under law, and constitute the property of the COMPANY.
    The use of the name or/and the mark requires written consent from the COMPANY.
  2. All and any rights in the content posted on the IngramMicro24 website are vested in the COMPANY and/or the SUPPLIERS.
  3. The IngramMicro24 website is legally protected as set forth in relevant Polish laws, including the Act on Copyright and Neighbouring Rights of 4 February 2001 and the Act on Combating Unfair Competition of 16 April 1993.
  4. The content of IngramMicro24 website constitutes a work within the meaning of the Act on Copyright and Neighbouring Rights of 4 February 2001, and, as such, is protected thereunder. It is prohibited to duplicate and further use any content, whether in whole or in part, which is posted on the IngramMicro24 website, without prior express consent from the COMPANY.
  5. The COMPANY reserves the right to post advertising, promotional, or marketing content of the COMPANY or the SUPPLIERS and third parties, on the IngramMicro24 website.
  6. The author’s economic rights in IngramMicro24 graphic elements, including the logo “IngramMicro24”, as well as in composition and layout of the graphic elements, and the industrial property rights, including trademark registration rights and protection rights in trademarks posted on the IngramMicro24 website, are vested in the COMPANY. The USERS and RECIPIENTS are prohibited from using graphic elements and composition and layout of graphic elements, as well as markings covered by rights vested in the COMPANY, except as expressly permitted in the TERMS AND CONDITIONS, or upon the COMPANY’s consent.
§ 10. LIABILITY AND RESPONSIBILITY OF THE COMPANY
  1. The COMPANY is not liable or responsible for:
    1. form and content of any information and materials that do not come from the IngramMicro24 website editorial team but are posted by USERS in comments or other dedicated places on the website;
    2. form and content of any commercial information and materials from outside sources, that are posted on the IngramMicro24 website;
    3. manner in which the USERS use the IngramMicro24 website, and for any consequences thereof;
    4. all and any damage resulting from the USERS’ or RECIPIENTS’ activities that violate the law or these TERMS AND CONDITIONS;
    5. content downloaded from the IngramMicro24 website, or for the use thereof by, or usefulness thereof for, the USERS or the RECIPIENTS;
    6. any errors in operation of applications made available to the USERS and RECIPIENTS through the IngramMicro24 website, where such errors are beyond control, and are caused by no fault of the COMPANY;
    7. damage due to reasons beyond control, and caused by no fault of the COMPANY, including specifically any damage caused by Force Majeure events;
    8. interruption in the provision of SERVICES, caused by the failure or malfunction of telecommunication systems that are not provided by the COMPANY.
  2. The COMPANY is not liable for the USERS’ and RECIPIENTS’ use of the IngramMicro24 website in violation of these TERMS AND CONDITIONS or the law.
  3. The COMPANY is not liable for any damage suffered by the USER or/and the RECIPIENT as a result of Internet-related risks, including specifically: intrusions in the USER’s and/or RECIPIENT’s telecommunication system, password takeover by third parties, USER’s and/or RECIPIENT’s system infections from viruses or malicious software, or loss of databases and data saved to the telecommunication system.
§ 11. AMENDMENT TO THE TERMS AND CONDITIONS
  1. The COMPANY is entitled to make amendments to these TERMS AND CONDITIONS, including introduction of new version of these TERMS AND CONDITIONS or new scope of services available through the IngramMicro24 website. Changing the name (company) of the COMPANY or SUPPLIERS and their legal form does not constitute a change to the TERMS AND CONDITIONS.
  2. Any amendment to these TERMS AND CONDITIONS comes into force on a date indicated by the COMPANY, and in any case after a period not shorter than 7 days following the making of the amended TERMS AND CONDITIONS available in dedicated tab on the website, this tab containing applicable TERMS AND CONDITIONS.
  3. When logging in to the IngramMicro24 website, every USER and/or RECIPIENT receives a notification about amendments made to the TERMS AND CONDITIONS. Any further use of the IngramMicro24 is possible only upon acceptance of the TERMS AND CONDITIONS as amended.
§ 12. FINAL PROVISION
  1. These TERMS AND CONDITIONS shall apply from 01 November 2017.
  2. To all and any issues not regulated by these TERMS AND CONDITIONS, relevant provisions of the Polish law and European Union law shall apply.
  3. These TERMS AND CONDITIONS along with appendices referred to herein are available for free downloading, fixing, and printing from the IngramMicro24 website, and their paper version is available at the COMPANY’s registered office.
  4. In the event of any doubts as to the application of these TERMS AND CONDITIONS, the COMPANY reserves the right to give their binding interpretation.
  5. Disputes, if any, over services provided by the COMPANY through the IngramMicro24 website shall be governed by Polish law.
  6. All and any disputes arising out of, and in connection with the operation of the IngramMicro24 website, or services provided by the COMPANY or SUPPLIERS through the website shall be resolved by a common court of competent subject matter jurisdiction over the registered office of the COMPANY.
  7. If the COMPANY issues any foreign-language versions of these TERMS AND CONDITIONS and posts them on the IngramMicro24 website, the Polish language version of these TERMS AND CONDITIONS shall prevail.
  8. The following are integral to these TERMS AND CONDITIONS:
    • General terms and conditions of business in force in the COMPANY and/or general terms and conditions of contracts (contract templates) in force in the SUPPLIERS;
    • IngramMicro24 Privacy Policy;
    • TERMS AND CONDITIONS for sale of goods and services through the IngramMicro24 website, available in the dedicated website tab.
  9. TERMS AND CONDITIONS relating to any particular types and scope of services supplied electronically through the IngramMicro24 website by the COMPANY or the SUPPLIERS, conclusion and termination terms for contracts for electronically supplied services, as well as TERMS AND CONDITIONS of promotional sales or incentive programs of the COMPANY or the given SUPPLIER are integral to these TERMS AND CONDITIONS, and are or will be available from the IngramMicro24 website.
  10. Pursuant to Article 6 of the Act on Electronic Services of 18 July 2002 (Journal of Laws Dz. U. of 2002 No. 144 item 1204, as amended), the COMPANY shall inform the USER, on request of the latter and in the form selected by the same, about specific risks connected with the use of any electronic services.
  11. The USER represents that s/he has read:
    • TERMS AND CONDITIONS,
    • General Terms and Conditions of Business in force in the COMPANY or general terms and conditions of contracts (contract templates) in force in the particular SUPPLIER,
    • IngramMicro24 Privacy Policy,
    • TERMS AND CONDITIONS of Sale of Goods and Services through the IngramMicro24 Website, and that s/he understands their contents, fully accepts the same and undertakes to comply with them.
